SUSTAINABILITY

Responsible Business Conduct

We are committed to responsible business conduct, integrating ethical practices across all operations. We focus on integrity, transparency, and accountability, ensuring positive impacts on our stakeholders and communities.

By upholding high standards in corporate governance, data privacy and cybersecurity, and responsible supply chain management, we aim to build a sustainable and resilient business.

Instilling integrity companywide

CAE’s Code of Business Conduct and compliance policies act as the compass for how we do business and the values we put into practice every day. It governs the conduct of CAE’s directors, officers, employees, contractors and consultants and is available in French, Spanish, German and Portuguese.

All CAE employees receive mandatory training on the Code at hire, with annual reinforcement through training and communications. Directors, officers, and employees must read, acknowledge, and agree to comply with the Code annually.

We are committed to fostering a "Speak Up" culture, encouraging employees and others to report perceived breaches of the law or our Code. All reported concerns are assessed and, if necessary, thoroughly investigated as per our Internal Reporting/Whistleblowing Policy. Reports can be submitted securely and confidentially through various communication channels, including the CAE Ethics Helpline, which offers 24-7 support and service.

Corporate governance

We prioritize strong corporate governance to ensure ethical and transparent business practices. Our governance framework is designed to uphold the highest standards of integrity, accountability, and compliance. Our Board of Directors, which includes a diverse group of experienced professionals, plays a crucial role in guiding our corporate strategy and ensuring effective governance. Doing better business worldwide

Bribery and corruption are risks faced by virtually all organizations operating globally. Guided by our global Anti-Corruption Policy, we leverage ongoing compliance review to reinforce our governance, risk management and internal controls. Periodic risk assessments and audits help us maintain oversight on our practices and operating guidelines. The Global Ethics and Compliance Office collaborates with the internal audit team to perform audits and conducts risk assessments and monitoring on various programs as needed.

Managing our business relations with third parties

Guided by CAE’s Business Partners Policy, CAE has implemented several measures designed to ensure that the company does not participate in any form of corruption anywhere in the world, either directly or indirectly through business partners or third parties acting on the company’s behalf.

Our ethical principles for the responsible use of data analytics and AI

CAE adopted ethical principles for the responsible use of data to better manage risks associated with new technologies used for profiling and monitoring purposes. Additionally, CAE has a Responsible AI Policy to ensure the ethical use of artificial intelligence.

The adoption of these principles affirms our commitment to adhere to the highest standards of ethical conduct in our dealings with employees, customers, and all other stakeholders in our ecosystem. The principles are also a commitment to go beyond what is legally required to protect CAE’s and its stakeholders' data.

Export control

As a critical component of CAE’s Legal, Compliance and Risk Management structure, our Export Controls and Sanctions programs ensure CAE’s business activities are conducted in compliance with applicable export control and sanctions regulations, all of which are embedded into our corporate business processes.

Responsibility throughout the supply chain

With a broad network of suppliers supporting our global operations, we recognize our duty to reinforce ethical and sustainable practices. Our Supplier Code of Conduct aligned with the International Forum on Business Ethical Conduct sets clear expectations for ethical behaviour and compliance with legal standards among our suppliers. Suppliers are expected to convey these principles at every step of their supply chain.

Through the CAE Resilient Together program, we foster strategic ties within the industry and across sectors to enhance supply chain sustainability and operational excellence. By conducting supplier assessments and screening against ESG criteria, we can effectively mitigate risks and implement supplier development plans, corrective actions and measures to ensure continuous alignment with our sustainability goals.

Conflict minerals

CAE’s Conflict Minerals policy governs how we determine, manage, and mitigate the use of conflict minerals in our supply chain. We communicate CAE’s Conflict Minerals Policy to suppliers as part of our due diligence process to ensure their participation in the Responsible Minerals Assurance Process. We also verify smelters reported in supplier surveys to ensure their participation in the Conflict-Free Smelter Program of the Conflict-Free Sourcing Initiative (CFSI).
